I.            PEMBICARA: Reinhard, SH, MH (Advokat, Praktisi Hukum Perusahaan dan Corporate Secretary Perseroan Tbk.)

II.         MENGAPA WORKSHOP INI PENTING

Sejak diundangkannya UU Perseroan Terbatas No. 40 Tahun 2007 ("UUPT 2007") pada tanggal 16 Agustus 2007, masih mengundang banyak pertanyaan dari para pemegang saham, komisaris, direksi, in-house lawyer (Legal Dept.) dari banyak perusahaan, termasuk bank.

Workshop ini diselenggarakan untuk memberikan jawaban dan penjelasan secara menyeluruh ('kupas tuntas') yang berkaitan dengan ketentuan yang diatur dalam UUPT No. 40 Tahun 2007 ("UUPT 2007"), disertai dengan perbandingan dengan ketentuan yang sebelumnya diatur dalam UUPT No. 1 Tahun 1995 ("UUPT 1995").

Workshop ini akan dilaksanakan selama 2 hari dengan jumlah peserta yang terbatas guna memberikan kesempatan yang lebih besar kepada para peserta untuk menggali dan menajamkan pemahamannya terhadap UUPT 2007 dan juga untuk menjaga mutu dari Workshop ini sendiri yang menjadikan Workshop ini berbeda dengan workshop-workshop lainnya. Oleh karena itu, Workshop ini penting untuk diikuti oleh para pendiri, pemegang saham, anggota dewan komisaris, direktur dan in-house lawyer (Legal Dept.) dari perusahaan maupun bank, serta pihak-pihak lainnya yang berkepentingan atau berkecimpung dengan "Corporate Law", karena akan MEMBAHAS dan MENGUPAS TUNTAS, bukan saja teori tetapi juga implementasinya, yang berkaitan dengan:

1.             Pointers penting yang menjadi perbedaan antara UUPT 2007 dan UUPT 1995.

2.             Proses dan prosedur pendirian Perseroan, meliputi antara lain:

a.         Pemilihan dan pemesanan nama Perseroan yang akan dipakai;

b.         Proses pembuatan draft akta pendirian / anggaran dasar, khususnya KETENTUAN-KETENTUAN PENTING yang HARUS diperhatikan dalam membuat anggaran dasar perusahaan dan perubahannya;

c.         Proses Pengesahan oleh Menteri Hukum dan Hak Asasi Manusia (termasuk Persetujuan oleh atau Pemberitahuan kepada Menteri Hukum dan Hak Asasi Manusia untuk perubahan anggaran dasar);

d.        Proses Daftar Perseroan dan pengumuman dalam Berita Negara RI.

3.             Kapan Perseroan memperoleh status sebagai Badan Hukum dan konsekuensi hukum sebelum dan sesudah menjadi Badan Hukum.

4.             Struktur, penyetoran, penambahan, dan pengurangan MODAL.

5.             Perlindungan MODAL dan KEKAYAAN Perseroan.

6.             Perolehan dan pengalihan SAHAM Perseroan.

7.             Rencana Kerja, Laporan Tahunan (yang perlu diaudit oleh akuntan publik) dan penggunaan laba Perseroan.

8.             Tanggung jawab sosial (Corporate Social Responsibility / "CSR").

9.             Tata cara pelaksanaan, korum dan agenda Rapat Umum Pemegang Saham/ RUPS (Tahunan dan Luar Biasa), termasuk:

a.         Pengambilan keputusan diluar RUPS (Shareholders Resolution(s) in Lieu of General Meeting of Shareholders).

b.         RUPS melalui telekonferensi dan video konferensi.

The Tailor's Needle

A tailor was at work. He took a piece of cloth and with a pair of shining, costly, scissors, he cut the cloth into various bits.

Then he put the pair of scissors at his feet. Then he took a small needle and thread and started to sew the bits of cloth, into a fine shirt. When the spell of sewing was over, he stuck the needle on to his turban.

The tailor's son who was watching it asked him: "Father, the scissors are costly and look so beautiful. But you throw them down at your feet. This needle is worth almost nothing; you can get a dozen for an anna. Yet, you place it carefully on your head itself. Is there any reason for this illogical behaviour?"

"Yes, my son. The scissors have their function, no doubt; but they only cut the cloth into bits. The needle, on the contrary, unites the bits and enhances the value of the cloth. Therefore, the needle to me is more precious and valuable. The value of a thing depends on its utility, son, not on its cost-price or appearance."

Similarly, there are two classes of people in the world-those who create dissensions and disharmony, who separate man from man; and those who bring about peace and harmony, who unite people.

The former are generally the rich people, powerful politicians and kings; the latter are generally the poor devotees of God, the penniless wandering monks, and mendicants. The Lord makes use of both to carry on his function of providing the field for the evolution of individual souls. He throws down on the dust the mighty kings and millionaires who create wars and disharmony; and He keeps the poor, pious devotee over His own head. In His eyes the scale of values is entirely different!
